Bond Connect Company Limited ("BCCL") has established the E-filing System, an electronic platform to facilitate and process the submission of applications and supporting documents through the internet ("E-filing System"). The E-Filing System supports various services, including but not limited to Bond Connect, Swap Connect, FX Services.

You are about to access and enter into the E-filing System for the aforementioned purposes. Please read the following terms and conditions carefully. Unless otherwise stated, all the definitions in the Access Rules and guidelines of relevant BCCL services will apply to these terms and conditions. By using the E-filing System, you agree to be bound by these terms and conditions which incorporate the Personal Information Collection Statement.

1. You acknowledge that any use of or reliance upon any part of E-filing system shall be at your own initiative and sole risk. In respect of the use of the E-filing system or the application or document submitted through the system, you are responsible for the compliance of laws, regulations, policies, rules, measures and/or government or quasi-government directions, as applicable or amended from time to time.
2. You further acknowledge that the use of the E-filing System is provided on an "AS IS, AS AVAILABLE" basis, without warranty or condition of any kind, either expressed or implied.
3. While using the E-filing System, you agree not to (i) restrict or inhibit any other user from using the E-filing System, including without limitation, by means of "hacking" or defacing any portion of it; (ii) use the E-filing System for any unlawful purpose; (iii) use the E-filing System to engage in any fraud, misrepresentation or other unethical behaviour; (iv) transmit any software or other materials that contain any viruses, worms, trojan, horses, defects, date bombs, time bombs, or other items of a destructive nature; (v) modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the E-filing System; (vi) remove any copyright, trademark or other proprietary rights notices contained in the E-filing System; (vii) "frame" or "mirror" any part of the E-filing System without our prior written authorization; (viii) use any robot, spider, site search/retrieval application or other manual or automatic device, or process to retrieve, index, "data mine" or in any way reproduce or circumvent the navigational structure or presentation of the E-filing System or its contents; or (ix) harvest or collect information about other users without their express consent.
4. In addition, you acknowledge and agree that over the course of using and accessing the E-filing System, BCCL might collect, hold, process, disclose, use or otherwise deal with the personal data provided or submitted by you. You confirm that you have read and agree with the BCCL's Personal Information Collection Statement concerning the BCCL's services and onboarding application, which could be accessed through this link https://www.chinabondconnect.com/en/Others/Privacy-Statement.html.
5. BCCL, together with its affiliates, employees, officers, and authorized representatives (collectively the "Affiliates"), assumes no responsibility of any kind for any submission made through the E-filing System. By logging onto and/or continuing to use the E-filing System via the group administration account, investor account, or custodian account, you are responsible for all information and documents provided to BCCL through the E-filing System.
6. BCCL and its Affiliates shall not be liable or responsible (whether in tort, contract or otherwise) for any claim for any losses or damages of any kind (whether direct or indirect) whatsoever and howsoever arising from the use of or reliance upon the E-filing and/or its website and/or its server and/or any related system and/or software, including any mishandling, omission, non-delivery, delay, negligent or unauthorised use of the E-filing System, the group administration account, the investor account, the custodian account, or the registered Login ID(s) and password(s) of the aforementioned accounts.
7. BCCL and its Affiliates shall not be liable for any action taken or for any failure, hindrance or delay in the performance in whole or in part of BCCL under these terms and conditions if such action, failure, hindrance or delay arises out of causes beyond the control of BCCL. Such causes may include, but shall not be limited to, acts of God or the public enemy, acts of a civil or military authority, embargoes, sanctions, fires, floods, explosions, accidents, labour disputes, mechanical breakdowns, computer or system failures or other failures of equipment, failures of or defects in computer or system software, computer damage due to unauthorised programming routines, unavailability of or restrictions on any communication media for whatever reason, interruptions of power supplies, any law, decree, regulation or order of any government, competent authority, supranational bodies or any court or tribunal and any other causes beyond the control of BCCL.
8. BCCL reserves the right to change (i) these terms and conditions at any time; or (ii) the E-filing System, including adding, modifying, enhancing, eliminating or discontinuing any content on or feature of the E-filing System, and any of these changes we make will be effective and binding on you. Subject to the materiality of the changes made, BCCL may provide notice thereof by posting on BCCL website or electronic mail. Your continued use of the E-filing System following such changes will be deemed acceptance of such changes. Be sure to keep yourself updated about any changes and ensure familiarity with the most current version of the terms and conditions and the E-filing System.
9. BCCL reserves the right to limit the availability of the E-filing System and/or provision of any service described thereon to any person, geographic area or jurisdiction, at any time and in BCCL's sole discretion, and to limit the quantities of any such service that BCCL provides. In addition, BCCL reserves the right to (i) refuse the submission of or processing any application and any document through the E-filing System; (ii) stop your access to and use of the E-filing System or any part thereof, at any time and for any reason, with or without cause; or (iii) request the application be made offline instead. BCCL has the absolute discretion to determine the way in which the onboarding application for admitting to Bond Connect is to be submitted, processed and determined.
10. These terms and conditions are governed by and construed in accordance with the laws of Hong Kong. You agree to submit to the non-exclusive jurisdiction of Hong Kong. If any of the terms and conditions is found to be unlawful, void, or for any reason unenforceable, then it shall be severable and shall not affect the validity and enforceability of the remaining terms and conditions.
